Termination

To the maximum extent permitted by law, in no event whatsoever shall either MTAP or its affiliates, or their respective employees, offices, shareholders, agents, licensors or representatives, nor customer or its affiliates, or their respective employees, officers, shareholders, agents, licensors or representatives, be liable for any indirect, consequential, incidental, special, punitive or exemplary damages, or for any loss of profits or revenue, including but not limited to loss of sales, data, profit, revenue, goodwill, business interruption, loss of information or unauthorized access to information and the like, even if either party or an affiliate has been advised of the possibility of such damages. In no event shall MTAP or its affiliates be liable to the other party for an amount in excess of the total fee actually received by MTAP from customer for the services which gave rise to the claim.
We are not a transportation carrier and do not provide any kinds of delivery services. Because we do not control riders, you acknowledge and agree that we are not responsible for, and make no representations and/or warranties regarding, any rider. Your interactions with any riders are solely between you and such riders, including without limitation payment and delivery of services, and any other terms, conditions, warranties, or representations associated with such interactions. You agree that MTAP will not be responsible for any loss, damage, injury, or death incurred as the result of any such interactions, including without limitation if the Rider does not show up. If there is a dispute between you and any user, we are under no obligation to become involved.
Indemnification
You agree to indemnify and hold MTAP and its subsidiaries, affiliates, officers, agents, employees, partners, and licensors harmless from any claim or demand, including but not limited to reasonable attorneys’ fees, made by any third party due to or arising out of User Content you submit, post, transmit, or otherwise make available through the Service, your use of the Service, your connection to the Service, any content you create, manage or control in connection with the Service, your violation of the terms of this Agreement, or your use of the Service in violation of any third-party rights.
Governing Law and Jurisdiction
This Agreement will be governed by, construed and enforced in accordance with the laws of the State of Tamil Nadu, India. The parties agree that Chennai, India will be the venue of any dispute and will have jurisdiction over all parties.
Arbitration
If a dispute arises out of or relates to this Agreement or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by any recognized Arbitration Association under its Commercial Mediation, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
